The order, issued on April 21, 2026, provides that all securities class actions arising out of the same facts and claims on behalf of purchasers of Masonite International Corporation securities subsequently filed in, or transferred to, the Southern District of New York shall be consolidated into the existing docket, case number 1:26-cv-01052. According to a footnote in the order, the court is not aware of any cases requiring consolidation at this time.
The court granted the Pension Fund's unopposed motion, stating that the Pension Fund meets the PSLRA's requirements. The Pension Fund represented that no other investor has filed a motion for appointment as lead plaintiff and that, to the best of the Pension Fund's counsel's knowledge, there are no other plaintiffs with a larger financial interest.
Judge Torres noted that it appears to the Court that the Pension Fund's claims are typical of a class of similarly situated sellers of Masonite common stock who suffered a loss as a result of the defendants' alleged misconduct. The court indicated that the Pension Fund, an institutional investor, would be an adequate class representative.
The order also formally approves the selection of Robbins Geller Rudman & Dowd LLP as lead counsel. The court cited the firm's extensive experience in securities litigation and its resources as the basis for approval.
Lead counsel is tasked with briefing and arguing all motions, conducting discovery proceedings including depositions, handling settlement negotiations, and preparing for trial. The order requires counsel to notify the court of any other related actions within a reasonable time of becoming aware of them.
The caption for all pleadings in this and any related consolidated actions will be changed to "In re Masonite International Corporation Securities Litigation."
Any party objecting to the consolidation or other provisions of the order must file an application for relief within ten days after the action is consolidated. Counsel in any related action consolidated with this case will be bound by the organization of Plaintiffs' counsel as set forth in the order.
